Non-refundable activation

The $5,000 licence and program fee is non-refundable, and a minimum of 10 paid sales per month keeps an account active. If that isn't realistic for you, don't join.

Channel Partner Agreement

This Channel Partner Agreement (the “Agreement”) is entered into by and between MAZ Technology LLC, a Wyoming limited liability company with its principal place of business in Sheridan, Wyoming, USA (“Company”, “we”, “us”, or “MAZ”), and [Your full name] ([your email]) (“Partner”, “you”). MAZ operates the brand MAZ Assist (a brand of MAZ Technology LLC).

1. Grant of Partnership

MAZ grants Partner a non-exclusive, non-transferable, revocable right to promote MAZ Assist products and services (the “Products”) using the marketing materials, referral links, and tools provided in the Channel Partner dashboard.

2. Activation Fee — Non-Refundable Investment

Partner agrees to pay a single one-time activation fee of USD $5,000 to unlock the complete Channel Partner program. There is only one price and one program — a complete all-in-one business in one place. It covers both of the following:

(a) Reselling track. The right to sell all three AI Sales Assistants (voice, video and chat), the AI HR Assistant, and website design services, together with the leads & LinkedIn decision-maker finder, promotional content, signed certificate and referral tools, 5,000 human phone-calling minutes to USA & Canada with no expiry, and one (1) free phone number for the first twelve (12) months (subject to KYC approval per Section 2.6). Any additional phone number after the first is billed at USD $60 per number per year. When the 5,000 free minutes are consumed, additional minutes are available at the published top-up rates inside the Partner dashboard and remain valid for 12 months from purchase.

(b) Recruitment agency track. The right to operate your own branded AI-powered recruitment agency on the MAZ Assist hiring platform, with 1,000 free AI interview minutes and 10,000 free CV parsing / screening credits included. These included allowances never expire — they carry forward until used. The allowance covers the full screening-to-hired workflow (CV parsing, match scoring, gated AI voice interviews, scores, recordings, transcripts and offer tracking). Partner keeps seventy percent (70%) of every placement fee earned from Partner’s own candidate placements and pays MAZ a thirty percent (30%) platform share of that placement income.

(c) Interview-minute top-ups. Once the 1,000 included interview minutes are used, Partner may purchase additional AI interview minutes at USD $3.00 per minute. Partner may buy any quantity between 10 and 5,000 minutes in a single purchase, either from the preset packs or by entering a custom number of minutes in the Partner dashboard; the total charged is the chosen number of minutes multiplied by the per-minute rate. Every purchased minute includes ten (10) free CV parsing / screening credits, and purchased minutes and credits do not expire.

(c2) AI Voice Assistant conversations. Partner receives 1,000 AI Voice Assistant conversations included with activation for demos, pilots and client trials. These conversations do not expire. Once used, additional conversations may be purchased in the Partner dashboard at USD $1.71 per conversation, in any whole quantity between 10 and 5,000 conversations per purchase. Purchased conversations also do not expire.

(d) Human calling-minute top-ups. Once the 5,000 included human phone-calling minutes are used, Partner may purchase additional calling minutes inside the Partner dashboard from USD $0.18 per minute for USA & Canada, reducing to as low as USD $0.145 per minute on larger packs. Purchased calling minutes remain valid for twelve (12) months from the date of purchase.

The activation fee is a NON-REFUNDABLE INVESTMENT. No refunds will be issued for any reason, including but not limited to Partner dissatisfaction, lack of sales performance, account termination, or change of mind. By signing this Agreement and paying the fee, Partner acknowledges and accepts this non-refundable nature in full.

2.6. Phone Calling — KYC & Compliance

KYC is required before any outbound call is placed. Partner must complete the identity & calling-intent verification (KYC) available in the Partner dashboard. Free minutes and the free phone number are activated only after KYC is approved by MAZ.

Warm-up & rate limits (to protect the number from carrier spam-blocking). Week 1: max 25 outbound calls/day and 6/hour. Week 2: 60/day and 10/hour. Week 3 onward: 120/day and 15/hour. Mobile destinations are enabled by default; VOIP and toll-free are opt-in on request.

Compliance duties. Partner must (i) respect internal and jurisdictional Do-Not-Call registries, (ii) call only between 9:00 and 18:00 in the called party’s local time, (iii) clearly identify themself and the purpose of the call within the first 30 seconds, (iv) offer an opt-out on every call, and (v) never impersonate MAZ Assist staff or make income, earnings or performance guarantees. Complaints, spam-flag events, or carrier blocks may result in a temporary pause of calling privileges pending review. Repeated violations forfeit remaining free minutes and may end the engagement.

2.5. Optional Co-Build Track (Tech Ideas)

As a Channel Partner, Partner may optionally submit a product idea to MAZ for evaluation under the Co-Build Track. MAZ has no obligation to accept, review, build, or fund any idea and may decline any submission at its sole discretion.

Eligibility. To be reviewed, Partner must have a minimum of USD $5,000 available to fund development, or a committed third-party investor who will fund the build. Ideas without confirmed funding will not be reviewed.

Terms. If MAZ accepts an idea, MAZ will co-develop the product with Partner in exchange for an equity stake and other commercial terms to be negotiated and executed in a separate written co-build agreement. Nothing in this Agreement, and nothing in a Partner's idea submission, transfers any intellectual property between the parties or creates any equity, partnership, or investment obligation until such a separate written agreement is signed.

Confidentiality. Partner is encouraged not to submit trade secrets. MAZ will use reasonable care to keep submitted materials internal to its review team, but submission itself does not constitute a non-disclosure agreement. A mutual NDA can be signed as part of the separate co-build agreement.

3. Commissions

3.0 Earning components. Partner’s commission entitlement consists of the components described in 3.1, 3.2, 3.2A, 3.2B and 3.2C below. Recurring subscription commission is capped at thirty percent (30%). No other commission, override, or bonus is payable unless agreed in writing.

3.1 Recurring commission (30%). MAZ will pay Partner thirty percent (30%) of net collected subscription revenue from each AI Sales Assistant (voice, video, chat) and AI HR Assistant plan referred by Partner, for the lifetime of that customer’s active paid subscription. “Net collected” excludes refunds, chargebacks, payment-processor fees, taxes, and disputes.

3.2 One-time partner referral commission (10%, non-recurring). Partner will additionally earn a fixed ten percent (10%) on each new Channel Partner who activates through Partner’s referral link. This 10% is paid once per referred partner and does not recur, after the payment clears and any refund window has passed.

3.2A One-time website design commission (20%, non-recurring). Partner earns a fixed twenty percent (20%) of the net collected project value on each website design service sale referred by Partner. This 20% is paid once per project and does not recur, after the client’s payment clears.

3.2C Recurring SEO service commission (30%, recurring). Partner earns thirty percent (30%) of net collected subscription revenue on each MAZ Assist SEO service plan (Advance, Pro or Gold, billed monthly or yearly) referred by Partner. This 30% is paid on every qualifying payment the client makes — monthly or yearly — for the lifetime of that client’s active paid SEO subscription. Commission stops when the subscription is cancelled, refunded or charged back.

3.2B One-time training commission (30%, non-recurring). Partner earns a fixed thirty percent (30%) of the net collected course fee on each MAZ Assist AI Teacher enrolment referred by Partner, whether the learner enrols directly through Partner’s referral link or through a local training centre Partner operates. This 30% is paid once per enrolment and does not recur, after the learner’s payment clears and any refund window has passed. Course delivery, teaching, assessment, certification and learner support remain the sole responsibility of MAZ. Partner may promote a locally branded training centre and may charge learners separately for local facilities or support, provided Partner does not represent itself as the awarding body, does not alter the certificate, and does not state or imply any accreditation MAZ has not granted in writing.

3.3 Placement income (70% Partner / 30% MAZ). Fees Partner charges client companies for candidate placements made through Partner’s own recruitment agency are billed by Partner directly to the client. Partner keeps seventy percent (70%) of that placement income and pays MAZ a thirty percent (30%) platform share, reported and remitted within fifteen (15) days of Partner collecting the placement fee. MAZ may request reasonable supporting invoices to verify reported placement revenue.

3.4 Sales-first rule. Commissions accrue only on successful, collected sales. Trials, unpaid signups, cancelled charges, and refunded transactions do not earn commission and, if already paid, are clawed back from the next payout.

3A. Growth Tools Access & Renewal

3A.1 First year free. The Decision Makers finder and the Lead Generation tool are included at no additional cost for the first twelve (12) months from the date Partner’s activation payment clears.

3A.2 Renewal. After the first year, continued access to both tools is available for USD $15 per month (a single subscription covering Decision Makers and Lead Generation together), cancellable at any time from the Partner dashboard. Commissions, the partner certificate, and referral tracking are unaffected if Partner chooses not to renew.

3B. MAZ Community

Partner accounts include access to MAZ Community — a professional B2B network where Partner can join their local city network, post updates, follow and connect with other business owners, and message them directly to build meaningful business relationships. Community use is subject to the community guidelines published in-product.

4. Payout Schedule

Commissions earned in a calendar month are calculated after the month ends and are paid out within fifteen (15) business days after the end of that calendar month, via the payout method Partner has configured in the dashboard. Minimum payout is USD $50; balances below the minimum roll over to the next month.

5. Partner Obligations

  • Minimum performance. Partner must generate a minimum of ten (10) successful, collected paid sales per calendar month to remain active and continue working with MAZ. Accounts that fall below this threshold for two (2) consecutive months may be paused or terminated at MAZ’s discretion, and unearned tools, leads, and referral privileges may be revoked. The $5,000 activation fee remains non-refundable regardless of performance.
  • Promote MAZ Assist honestly and without misrepresentation.
  • No spam, unsolicited bulk email, deceptive advertising, trademark bidding on MAZ trademarks, or cookie stuffing.
  • Comply with all applicable laws, including the U.S. FTC Endorsement Guides — clearly disclose the affiliate relationship when required.
  • Do not make guarantees of income or results on MAZ’s behalf.
  • Keep account credentials secure; Partner is responsible for all activity under the account.

6. Intellectual Property

All MAZ trademarks, logos, content, software, and marketing assets remain the exclusive property of MAZ. Partner may use them only as provided through the dashboard and only to promote the Products. No other license is granted.

7. Term and Termination

This Agreement begins on the Effective Date and continues until terminated. Either party may terminate for convenience on thirty (30) days written notice. MAZ may terminate immediately for breach, fraud, chargebacks, or violation of Section 5. Commissions earned before termination and not clawed back will be paid on the next regular payout cycle.

8. Independent Contractor

Partner is an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, or franchise relationship. Partner is solely responsible for all taxes on commissions received.

9. Disclaimer & Limitation of Liability

The Products and tools are provided “as is” without warranty of any kind. MAZ is not liable for lost profits, lost sales, or any indirect, incidental, or consequential damages. MAZ’s total liability under this Agreement is capped at the total amount paid by Partner to MAZ in the twelve (12) months preceding the claim.

10. Governing Law & Venue

This Agreement is governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement will be brought exclusively in the state or federal courts located in or having jurisdiction over Sheridan, Wyoming, USA, and the parties consent to the personal jurisdiction of those courts.

11. Electronic Signature (E-SIGN Act)

Partner consents to sign this Agreement electronically. Partner’s typed full legal name, together with the timestamp, IP address, and user-agent captured at signing, constitute a valid electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA).

12. Entire Agreement

This Agreement is the entire agreement between the parties regarding the subject matter and supersedes all prior discussions. If any provision is held unenforceable, the remaining provisions remain in effect.
